Terms of Service

These Terms of Service (the "Terms") govern access to and use of MentalHealthSolutions.ai, a clinician-facing support-planning tool (the "Service"). By creating an account or using the Service you agree to these Terms.

1. Who may use the Service

• The Service is intended solely for licensed mental health and human-services professionals, supervised trainees, case managers, and social workers acting in a professional capacity.
• The Service is not a direct-to-consumer product and may not be used by clients, patients, or members of the public for personal advice.
• You must be at least 18 years old and able to enter into a binding contract in your jurisdiction.

2. Nature of the Service

• The Service helps clinicians draft de-identified support plans and organize their own referral resources.
• The Service is not a crisis service, diagnostic tool, electronic health record (EHR), therapy service, or substitute for clinical judgment, supervision, or agency protocol.
• All outputs are drafts and must be reviewed and edited by a qualified clinician before any client-facing use.

3. No PHI; de-identified use only

• You agree not to enter Protected Health Information (PHI) or any directly identifying information about clients, families, or third parties — including names, addresses, birthdates, phone numbers, emails, medical record numbers, insurance IDs, or photographs.
• We do not offer a Business Associate Agreement (BAA) and the Service is not designed or represented as HIPAA-compliant. We make no claim of HIPAA, HITECH, 42 CFR Part 2, or other regulatory certification.

4. Referrals are unverified

• Referral information in the Service comes only from resources you or your organization upload. The Service does not maintain, verify, or endorse any referral.
• You are solely responsible for verifying the accuracy, eligibility, availability, and clinical appropriateness of any referral before sharing it with a client.

5. Your account

• You are responsible for safeguarding your credentials and for all activity under your account.
• You agree to provide accurate registration information and to keep it current.
• We may suspend or terminate accounts that violate these Terms or the Acceptable Use policy.

6. Subscriptions, fees, and changes

Pricing, billing terms, refunds, and renewal policies will be described at the point of purchase when paid plans become available. We may change features, pricing, or these Terms with reasonable notice.

7. Intellectual property

We retain all rights to the Service. You retain rights to the de-identified content you enter. You grant us a limited license to process that content solely to operate and improve the Service.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR CLINICAL PURPOSE. WE DO NOT WARRANT THAT AI-GENERATED OUTPUTS ARE ACCURATE, COMPLETE, OR APPROPRIATE FOR ANY INDIVIDUAL CLIENT.

9. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, consequential, or punitive damages, or for clinical, professional, or licensure consequences arising from your use of the Service. Specific monetary caps will be set in the counsel-reviewed final version.

10. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your violation of these Terms, your professional conduct, or your use of Service outputs with clients.

11. Governing law and disputes

Jurisdiction, venue, and dispute-resolution terms will be finalized by counsel.

12. Changes to these Terms

We may update these Terms; continued use after notice constitutes acceptance.
